Board of Directors

The Board is responsible for the overall decision-making of the Company and exercises a number of reserved powers; it reviews and approves the financial statements in the interim and annual reports, formulates the dividend policy and determines the amount of dividends, and oversees the Company’s corporate governance practices. The Board makes decisions only on overall objectives and strategies, while more specific duties are delegated to various committees, including the Audit Committee, Remuneration Committee, Nomination Committee and Corporate Governance Committee established by the Board. Each committee exercises its respective authority and regularly reports to the Board on its work progress and provides recommendations on matters under discussion.
 
Under the powers delegated by the Board, senior management implements strategies and business plans as authorised by the Board and/or the respective committees. Independent non-executive Directors play an important role in corporate governance. A majority of the members of the Board’s committees, namely the Audit Committee, Remuneration Committee and Nomination Committee, are independent non-executive Directors, enabling them to provide independent views on matters relating to strategy, corporate governance and accountability at meetings of the respective committees and the Board.
Zhu Gongshan
Executive Director and Chairman of the Board
Mr. Zhu Gongshan was appointed as an Executive Director, Chairman of the Board and Chairman of the Nomination Committee on September 9, 2022. He is the founder, Executive Director and Chairman of GCL Technology Holdings Limited (Stock Code: 3800, HKEX). Mr. Zhu also serves as a director of GCL System Integration Technology Co., Ltd. (Stock Code: 002506, SZSE) and a director of GCL Energy Technology Co., Ltd. (Stock Code: 002015, SZSE). Mr. Zhu previously served as an Executive Director of the Company from April 2014 to May 2016 and as Honorary Chairman of the Board of the Company from May 2014 to May 2016.
 
Mr. Zhu is a member of the 12th National Committee of the Chinese People's Political Consultative Conference (CPPCC), a Standing Committee Member of the 12th Jiangsu Provincial Committee of the CPPCC, Chairman of the Global Green Energy Industry Council (GGEIC), Chairman of the Asian Photovoltaic Industry Association (APVIA), Deputy Director of the Enterprise Green and Low-carbon Development Promotion Committee of the China Enterprise Confederation, Executive Vice President of the Energy Storage and Electric Vehicle Branch of the China Electricity Council. Zhu Yufeng
Executive Director and Deputy Chairman of the Board
Mr. Zhu Yufeng was appointed as an Executive Director on December 11, 2015. He is also Vice Chairman of the Board, Chairman of the Risk Review Committee and the Corporate Governance Committee, a member of the Remuneration Committee, and a director of several subsidiaries of the Company.
 
Mr. Zhu served as Chairman of the Company and Chairman of the Nomination Committee from December 2015 to September 2022, and concurrently held the position of President from December 2020 to September 2022. He previously served as a Non-executive Director and Vice Chairman of the Company from February 2015 to December 2015.
 
Mr. Zhu is currently Executive Director and Vice Chairman of GCL Technology Holdings Limited (Stock Code: 3800, HKEX), Chairman of GCL Energy Technology Co., Ltd. (Stock Code: 002015, SZSE) and Chairman of GCL System Integration Technology Co., Ltd. (Stock Code: 002506, SZSE). He is also Secretary of the CPC Committee of GCL Group Co., Ltd., Vice Chairman and President of GCL Group (Holdings) Limited, and Director of GCL Group Co., Ltd.
 
Mr. Zhu concurrently holds various social positions, including Member of the Standing Committee of the All-China Youth Federation, Vice President of the China Young Entrepreneurs Association, Vice Chairman of the China Electricity Council, Vice President of the Jiangsu General Chamber of Commerce, President of the Jiangsu Youth Chamber of Commerce, and Member of the 14th and 15th Suzhou Municipal Committees of the Chinese People’s Political Consultative Conference.

Sun Wei
Non-executive Director
Ms. Sun Wei was appointed as a Non-executive Director on May 9, 2014. She is also a member of the Remuneration Committee and the Strategy Committee.
 
Ms. Sun has served as an Executive Director of GCL-Poly Energy Holdings Limited (a listed company on the Main Board of The Stock Exchange of Hong Kong Limited, Stock Code: 3800, “GCL-Poly”) since September 9, 2016. She previously served as an Executive Director of GCL-Poly from October 2007 to January 23, 2015, and subsequently continued to serve GCL-Poly as Honorary Chairman of Finance and Strategy. Following her reappointment as Executive Director of GCL-Poly on September 9, 2016, she stepped down from the position of Honorary Chairman of Finance and Strategy of GCL-Poly.
 
Ms. Sun is currently Vice Chairperson of GCL (Group) Holdings Limited, Chairperson of GCL Finance (Group) Holdings Limited, and Vice Chairman of the Hong Kong Chamber of Commerce and Industry in China.
 
She previously served as a Non-executive Director of Asia Energy Logistics Group Limited (a listed company on the Main Board of The Stock Exchange of Hong Kong Limited, Stock Code: 351) from January 26, 2010 to August 31, 2016, and as a Non-independent Director and member of the Nomination Committee of GCL System Integration Technology Co., Ltd. Ms. Sun has more than 20 years of experience in power plant investment and management, financial financing, financial strategy and management. She obtained her Doctor of Business Administration degree in 2005.

Yang Wenzhong
Non-executive Director
Mr. Yang Wenzhong was appointed as a Non-executive Director on September 18, 2015. He is also a member of the Corporate Governance Committee.
 
He currently serves as an Executive Director, Chief Financial Officer and Company Secretary of GCL-Poly Energy Holdings Limited (a listed company on the Main Board of The Stock Exchange of Hong Kong Limited, Stock Code: 3800), as well as a member of the Nomination Committee, Corporate Governance Committee, and Strategy and Investment Committee.
 
Prior to joining the Group, Mr. Yang was a Partner at Deloitte Touche Tohmatsu and also served as a part-time member of the Central Policy Unit of the Hong Kong Special Administrative Region Government. When he left Deloitte Touche Tohmatsu in March 2014, he was the Leader of Mergers & Acquisitions and Corporate Finance Advisory Services for South China.
 
Mr. Yang holds a Bachelor of Business Administration degree majoring in Accounting. He is a member of the Hong Kong Institute of Certified Public Accountants and CPA Australia, with more than 25 years of experience in accounting, auditing and financial management.

Fang Jiancai
Non-executive Director
Mr. Fang Jiancai was appointed as a Non-executive Director on March 1, 2021. He has served as Deputy General Manager and Chief Financial Officer of GCL System Integration Technology Co., Ltd. (a listed company on the SME Board of the Shenzhen Stock Exchange, Stock Code: 002506) since February 2021. In addition, he has been General Manager of the Finance Department of GCL Integration since 2015.
 
Mr. Fang previously served as General Manager of the Financial Management Department of several subsidiaries of GCL Integration and GCL-Poly Energy Holdings Limited (a listed company on the Main Board of The Stock Exchange of Hong Kong Limited, Stock Code: 3800, and the controlling shareholder of the Company). Prior to joining GCL-Poly and GCL Integration, Mr. Fang worked at Ernst & Young Hua Ming Certified Public Accountants.
 
Mr. Fang graduated from Nanjing Audit University (formerly known as Nanjing Audit Institute) with a Bachelor’s degree in Auditing, and later obtained an EMBA degree from China Europe International Business School. He has extensive experience in financial management.

Huang Wei
Mr. Huang Wei is currently Vice President of GCL Group Co., Ltd., Vice President of GCL Technology Holdings Limited, and General Manager of GCL Technology Capital Operation Center (Hong Kong). He previously served as Vice President of GCL-Poly Natural Gas Group Holdings Limited.
 
Mr. Huang graduated from The Hong Kong Polytechnic University in 2007 with a master’s degree in Actuarial Science, and obtained a bachelor’s degree in Mathematics from Nanjing University in 2005.

Nie Wenhua
Mr. Nie Wenhua has been serving as a Partner and Executive Deputy General Manager of the Jiangsu Branch at Zhonghua Certified Public Accountants since November 2023. He is a senior certified public accountant in the fourth batch of the Chinese Institute of Certified Public Accountants (CICPA), a member of the Xuanwu District Committee of the Chinese People's Political Consultative Conference in Nanjing, and a member of the Economic Committee of the Nanjing Municipal Committee of the Jiusan Society. He holds qualifications as a Chinese Certified Public Accountant, Chinese Certified Asset Appraiser, Chinese Certified Tax Agent, Chinese Certified Real Estate Appraiser and Chinese Certified Land Valuer.
 
He is a part-time supervisor at the MBA Center of Nanjing University, an adjunct professor at Nanjing Audit University, a part-time supervisor at Nanjing University of Finance and Economics, and a part-time supervisor at the College of Finance, Nanjing Agricultural University. With many years of experience in the accounting firm industry, he has been in charge of audit, evaluation, restructuring and financing projects for numerous companies.
 
Mr. Nie served as an Independent Director of Wuxi Real Precision Machinery Co., Ltd. from 2010 to 2015; as an Independent Director of Zhejiang Hengda New Material Co., Ltd. (listed on the Shenzhen Stock Exchange, stock code: 301469) from November 2016 to December 2019; as an Independent Director of Dahan Software Co., Ltd. from 2019 to June 2025; and has been serving as an Independent Director of Jiangsu Yadian Technology Co., Ltd. since 2024.

Mr. Hu Guowen is the Brand Director and Co-founder of Longbridge Securities. He has more than 15 years of cross-industry experience covering industrial design, Internet of Things (IoT), financial technology (FinTech) and digital assets. He has an outstanding track record in scaling startup operations, driving user growth and building award-winning products. Specialized in integrating technology, design and business strategies, he has launched industry-leading innovative solutions in the Asia-Pacific and global markets.
 
Mr. Hu has served as Co-founder, Director and Chief Operating Officer of Longbridge Securities (Hong Kong) Limited since 2019; Director of IoT Products at Alibaba Group from 2014 to 2017; Head of Reference Design at Intel Asia-Pacific R&D Center from 2010 to 2013; Senior Product Designer for Alcatel Mobile Phones from 2009 to 2010; and Senior Product Designer at ASUS Design Center from 2007 to 2009.
 
Mr. Hu graduated from East China University of Science and Technology in 2007 with a master’s degree in Industrial Design (Design Commercialization).

Zhao Limei
Ms. Zhao Limei is qualified as a lawyer in China and the State of New York, USA. She holds an LL.B. and an LL.M. from Fudan University, an LLM from the University of Pennsylvania, and an MBA from the PBC School of Finance, Tsinghua University. She is currently a DBA candidate at The Hong Kong University of Science and Technology. She has served as a mentor for Master of Finance students at the School of Economics, Huazhong University of Science and Technology, and a practical supervisor at Xi’an Jiaotong-Liverpool University.
 
Ms. Zhao serves as a Director of Infinity Group, a Managing Partner of Puyi Capital, and an Executive Director of Red Ant Group. She possesses extensive experience in fund raising, fund management and private equity investment. She has collaborated with multiple local governments and industrial partners across China to establish a number of RMB-denominated funds, and led the launch of some of China’s first QFLP funds. She has led the investment and exit of multiple projects in new energy, artificial intelligence and other sectors.
 
From July 2020 to February 2022, she served as an Independent Non-executive Director of Shanghai Great Wisdom Co., Ltd. (a listed company on the Shanghai Stock Exchange, stock code: 601519). She currently holds concurrent social positions including a member of the Investment Committee of the China-Israel Angel Fund in Shanghai Putuo District and an expert member of the Industrial Guidance Fund in Shanghai Jing’an District.

In June 2019, SNEC 2019 International Photovoltaic & Smart Energy Forum grandly opened in Shanghai. At the Asian PV Awards (APVIA Awards) ceremony held on the same evening, GCL New Energy was honored with the PV Application Award.

The Belt and Road International Construction Terawatt Brilliance Award

In May 2018, at the 2018 SNEC Top Ten Highlights Launch Ceremony, GCL New Energy’s Overseas Sowing Initiative won the Belt and Road International Construction Terawatt Brilliance Award. Meanwhile, its PV Poverty Alleviation 3.0 “GCL Model” was conferred the SNEC Megawatt Emerald Award.

Ranked 2nd on the list of Best PV Power Station Developers and Investors

In April 2018, the 2017 PVBL China PV Brand Ranking was officially released. GCL New Energy secured the second position on the list of Best PV Power Station Developers and Investors, and was awarded the title of Annual Best Enterprise for PV Poverty Alleviation. Light Energy Cup CREC Annual PV Poverty Alleviation Award

On the opening day of the 9th China (Wuxi) International New Energy Conference and Exhibition, the Light Energy Cup CREC Annual Award Ceremony was held as scheduled. With its outstanding achievements in photovoltaic power station development and remarkable contributions to photovoltaic poverty alleviation, GCL New Energy won two major honors, namely the Annual PV Investment Enterprise Award and the Annual PV Poverty Alleviation Award.

On 5 December 2017, during the 2017 China New Energy International Leader Conference, the organizer — the New Energy Overseas Development Alliance — released the list of winners of the Belt and Road New Energy International Outstanding Contribution Awards and a series of related honors.
 
By virtue of its innovative regional operation model for photovoltaic power stations and the exclusive power station operation service brand GCL Intelligent O&M, Suzhou GCL New Energy Operation Technology Co., Ltd. was conferred the Outstanding Contribution Award for the Belt and Road New Energy International Digital Operation & Maintenance.
