GCL New Energy Holdings Limited (“GCL New Energy”) attaches great importance to communication between the Board of Directors (the “Board”) and its shareholders. The Board is committed to ensuring that its shareholders and the investing public have open, equal and timely access to corporate information. This enables shareholders to exercise their rights on an informed basis and enhances overall communication. GCL New Energy has adopted a Shareholder Communication Policy to ensure that shareholders are provided with comprehensive, consistent and easy-to-understand information about the Company in a timely manner. In addition, GCL New Energy has established procedures for shareholders to nominate candidates for election as directors.
Requirements in relation to Corporate Communications
Corporate communications (“Corporate Communications”) refer to any documents issued or to be issued by GCL New Energy Holdings Limited (“GCL New Energy”) for the reference or action of any holders of its securities, including without limitation the directors’ reports, annual accounts together with auditors’ reports, interim reports, meeting notices, listing documents, circulars and proxy forms.
English and Chinese versions of GCL New Energy’s Corporate Communications are available on the official website of GCL New Energy and the HKEXnews website.
In compliance with the Listing Rules of The Stock Exchange of Hong Kong Limited and the Company’s Articles of Association, GCL New Energy provides Corporate Communications to shareholders in electronic form (the “Electronic Version”) via its official website and HKEXnews, provided that the relevant shareholders have consented to receive electronic documents. The Company will seek consent from all new registered shareholders to receive future Corporate Communications in electronic form.
If no response is received from a registered shareholder within 28 days objecting to accessing Corporate Communications electronically via the Company’s website, such shareholder will be deemed to have elected to receive the Electronic Version in lieu of printed copies (the “Printed Version”). Notification of the publication of new Corporate Communications on the Company’s website will thereafter be sent to the shareholder by email; if no email address is provided, such notification will be posted to the registered address of the shareholder as recorded in the Company’s share register.
GCL New Energy will issue Printed Versions of Corporate Communications to registered shareholders at their request and in their selected language version (see “Selection of Language Versions and Means of Receiving Corporate Communications” below). Printed copies will also be dispatched to registered shareholders who have not consented to receive Corporate Communications in electronic form.
If a registered shareholder has elected (or is deemed to have elected) the Electronic Version but encounters difficulties in accessing documents electronically for any reason, or wishes to receive a Printed Version, the Company will promptly provide a free printed copy upon request.
Notifications regarding the publication of Corporate Communications on the Company’s website will also be sent by email or post to non-registered shareholders who hold GCL New Energy shares in the Central Clearing and Settlement System (whether held through brokers, custodians or other intermediaries). Non-registered shareholders may request Printed Versions of Corporate Communications (see “Selection of Language Versions and Means of Receiving Corporate Communications” below).
Registered shareholders may at any time amend their preferred language version and receiving method for future Corporate Communications by serving written notice to the Company’s Hong Kong Share Registrar, Tricor Abacus Limited. Following the publication of Corporate Communications on GCL New Energy’s website, registered and non-registered shareholders who wish to obtain printed copies or an alternative language version may complete and submit a designated application form to the Company’s Hong Kong Share Registrar, Tricor Abacus Limited (by post: 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong; by email: gclnewenergy-ecom@hk.tricorglobal.com).
Registered shareholders may change their selected language version or receiving method for all future Corporate Communications by submitting a completed application form with no less than five business days’ prior written notice to Tricor Abacus Limited (postal and email addresses as stated above). Any such change shall take effect for the next and all subsequent publications of Corporate Communications, until the shareholder disposes of their GCL New Energy shares or notifies the Share Registrar of further amendments via a new application form.
Non-registered shareholders may adjust their method of receiving future corporate documents from time to time by issuing relevant instructions to their intermediaries, such as brokers, custodians, agents or CCASS participants.
